Service Terms Preview

These Service Terms are part of Your Terms with Harvey. Any capitalized terms used but not defined in these Service Terms have the meaning set forth in the Terms. In any situation in which there is a conflict between these Service Terms and the Terms, these Services Terms control with respect to features and services governed by these Service Terms.

  1. PREVIEW FEATURES.
    1. This section governs Your use of services or features that Harvey offers on a preview, beta, or early access basis (“Preview Features”) and that you elect to use. Any Feedback related to the Preview Feature may be used to improve the Service.
    2. Preview Features are offered on an as-is and as-available basis. Your access to or use of Preview Features is at your own risk. To the extent permitted by law, Harvey expressly disclaims all, and You receive no, warranties and conditions of any kind, whether express or implied, including by not limited to, those of merchantability, satisfactory quality, title, fitness for a particular purpose, and non-infringement.
    3. To the extent allowed by applicable law, Harvey’s liability to You with respect to Preview Features is limited to $100,000.00.
    4. Unless indicated otherwise on these Service Terms, Preview Features will be metered and billed as normal usage of the Service.
    5. Harvey may materially change Preview Features during the course of the preview and may opt to discontinue Preview Features.
  2. DATA STORAGE.
    1. You acknowledge that any election by You to store Customer Data or Content outside the default location for your selected data processing region may affect performance and availability of the Services.
    2. Notwithstanding anything set forth in the Terms, Your workspace retention setting will not apply to certain features, as outlined in our Documentation.
  3. TARGETED SOURCE FEATURES.
    1. Targeted Source Features” refers to a user’s capability within the Service to ask queries on specific targeted sources of data (such as publicly available web sources, knowledge sources, or uploaded documents).
    2. Content may contain portions of the Customer Data or portions of data from the exogenous data sources. IP ownership of such portions of Customer Data or data from exogenous data sources is not impacted by its use in the Services.
  4. WEB BROWSING AND KNOWLEDGE SOURCES.
    1. Web browsing and Knowledge Sources are features that may be leveraged in various parts of the Service to enhance the user’s experience by directly querying the world-wide-web.
    2. When the “Web Browsing Feature” or “Knowledge Source Feature” is used by the Customer, links to relevant URLs will be returned to the user with the Output.
    3. Harvey engages Subprocessor, listed on the Subprocessor List, to help provide the web searching aspects of the Web Browsing Feature (the “Web Browsing Subprocessor”). For URLs not searchable through Harvey’s AI providers, Harvey may use a Subprocessor, the “Knowledge Source Subprocessor,” to search such URLs. Customers will have the choice of opting-in to the Knowledge Source Subprocessor and Web Browsing Subprocessor.
    4. The Web Browsing Subprocessor and Knowledge Source Subprocessor process Customer Data and Content in the location(s) specified on www.harvey.ai/legal/subprocessors and may not process in your selected data processing region. The Knowledge Source Subprocessor, Parallel Web Systems Inc., is not HIPAA compliant. You cannot upload or process Protected Health Information through Parallel Web Systems Inc.
    5. Web Browsing and Knowledge Source are Targeted Source Features.
  5. ASK LEXISNEXIS.
    1. “Ask LexisNexis” is a feature that may be leveraged in various parts of the Service to enhance the user’s experience by surfacing answers generated by Lexis+AI within Harvey (“Ask LexisNexis”).
    2. Harvey engages a Subprocessor, listed on the Subprocessor List, to help provide Ask LexisNexis (the “LexisNexis Subprocessor”).
    3. The LexisNexis Subprocessor processes Customer Data and Content in the location(s) specified on www.harvey.ai/legal/subprocessors and may not process in your selected data processing region.
    4. Ask LexisNexis is a Targeted Source Feature.
    5. Ask LexisNexis is separate from and not included within the Basic Service.
  6. EMAIL HARVEY [FORTHCOMING]
    1. Email Harvey” is a feature that users may leverage to interact with the Service by sending emails to ask@harvey.ai. Emails and attachments sent using Email Harvey are processed by the Service to generate Output and constitute Customer Data and Content.
    2. The body of any email sent to Email Harvey is Input and any included attachments are Customer Data. A responsive email from Email Harvey is Output.
    3. Harvey engages a Subprocessor listed on the Subprocessor List, to help provide Email Harvey (the “Email Harvey Subprocessor”).
    4. The Email Harvey Subprocessor processes Customer Data and Content in the location(s) specified on www.harvey.ai/legal/subprocessors.
    5. Notwithstanding anything set forth in the Terms:
      1. As a telecommunications provider, the Email Harvey Subprocessor may retain emails and attachments as required.
      2. The Email Harvey Subprocessor is not HIPAA compliant. You cannot upload or process Protected Health Information through Email Harvey.
      3. Email Harvey Subprocessor may process Input, Output, and Customer Data transmitted through Email Harvey for the following purposes:
        1. to prevent, detect, or investigate security incidents and manage the security of the Email Harvey Subprocessor’s platform and services;
        2. to prevent, detect, or investigate abuse or misuse of the Email Harvey Subprocessor’s services, including spam, fraud, illegal activities, or to assist telecommunications providers, regulators, or law enforcement agencies with combating spam, fraud, or illegal activities; and
        3. to comply with Email Harvey Subprocessor’s legal and regulatory obligations, including, without limitation, their contractual commitments to telecommunications providers.
  7. SHARED SPACES
    1. Some features let You and Your admins invite third parties to collaborate in shared spaces, which are collections of playbooks, workflows, and Vaults shared across workspaces (each a "Shared Space"), or collaborate in another customer's Shared Space (working in another’s Shared Space is "External Collaboration").
    2. When You use External Collaboration: (i) the workspace owner (the "Sharing Customer") controls access, permissions, and settings (including storage, processing, and retention) and (ii) participants can view, edit, and download Content and Customer Data in the Shared Space based on their permissions and can see Your activity there.
      1. For shared workflows, You can work with third parties to create or edit them. When You run a shared workflow in Your workspace, Your Content and Customer Data stay in Your workspace (and follow Your settings and contractual commitments).
      2. For shared playbooks, You can work with third parties to create or edit them. When You use a feature in Your workspace that relies on a shared playbook, Your Content and Customer Data stay in Your workspace (and follow Your settings and contractual commitments).
    3. As between Harvey, the Sharing Customer, and other participants in the Shared Space, data uploaded to and content created in the Shared Space are treated by Harvey as the Sharing Customer’s Content and Customer Data.
    4. You are responsible for (i) choosing appropriate collaborators and following Your internal policies, and (ii) having the necessary rights and consents for any external data shared with You or others.
